Randall L. Clark

Randy Clark is corporate secretary and assistant general counsel for Sempra Energy, a San Diego-based Fortune 500 energy serves holding company whose subsidiaries provide electricity, natural gas and value-added products and services. The Sempra Energy companies’ 13,600 employees serve more than 29 million consumers worldwide.

As corporate secretary and assistant general counsel, Clark coordinates and records all meetings of the board of directors and its committees, serves as a liaison between the directors and the chief executive officer of the company and oversees corporate governance and corporate structuring for the company's domestic and international subsidiaries.

Previously, Clark was a managing attorney with Sempra Energy, where he oversaw a variety of domestic and international mergers and acquisitions, joint ventures, development projects and international legal issues. He was also principally responsible for corporate governance and corporate structuring matters for the domestic and international subsidiaries of Sempra Global, the umbrella for the company's businesses operating in competitive energy markets.

Prior to joining Sempra Energy in 2000, Clark was an attorney with the law firm of Cooley Godward LLP. There, his practice focused on a full range of corporate and securities matters, including corporate formations, corporate governance, mergers and acquisitions, venture financing, joint ventures, initial public offerings and general business counseling for both public and private companies. Previously, Clark was a corporate attorney with Morrison & Foerster, LLP.

Clark graduated with honors from Duke University’s School of Law where he emphasized international and comparative law and summa cum laude with a bachelor's degree in accounting from Pepperdine University.

Clark is a member of the International Bar Association, the Association of Corporate Counsel, the American Bar Association and other national and local bar associations. He also is active with the Society of Corporate Secretaries & Governance Professionals.
