Randall L. Clark
Vice President – Compliance and Governance and Corporate Secretary
Randall L. Clark is vice president of compliance and governance and corporate secretary for Sempra Energy, a San Diego-based Fortune 500 energy services holding company whose subsidiaries provide electricity, natural gas and value-added products and services. The Sempra Energy companies’ 17,000 employees serve more than 31 million consumers worldwide.
In this role, Clark directs the company’s compliance programs worldwide and also acts as the company’s chief governance officer and corporate secretary. Clark oversees all corporate governance and corporate structuring for the company and its subsidiaries and coordinates and records all meetings of the board of directors and its committees, serving as a liaison between the directors and the chief executive officer of the company.
Previously, Clark was vice president of corporate responsibility for Sempra Energy where he oversaw corporate social responsibility, political contribution and lobbying reporting. He has also served as vice president of corporate relations for Sempra Energy where he oversaw federal government and regulatory affairs and corporate communications.
Prior to his executive responsibilities, Clark was a managing attorney with Sempra Energy, where he oversaw a variety of domestic and international mergers and acquisitions, joint ventures, development projects and international legal issues. He was also principally responsible for corporate governance and corporate structuring matters for Sempra Energy subsidiaries, Sempra LNG, Sempra Generation and Sempra Pipelines & Storage.
Prior to joining Sempra Energy in 2000, Clark was an attorney with the law firm of Cooley Godward LLP. There, his practice focused on a full range of corporate and securities matters, including mergers and acquisitions, corporate formations, corporate governance, joint ventures, venture financing, initial public offerings and general business counseling for both public and private companies. Previously, Clark was a corporate attorney with Morrison & Foerster, LLP.
Clark graduated with honors from Duke University’s School of Law with an emphasis in international and comparative law. He also holds a bachelor's degree in accounting from Pepperdine University, where he graduated summa cum laude.
Clark is a member of several bar associations and also serves as a board member of the Corporate Directors Forum and as a board member and President of the Southern California chapter of the Society of Corporate Secretaries & Governance Professionals.
